DBRS Morningstar Upgrades Ratings on Kobe SPV S.r.l.

DBRS Ratings GmbH (DBRS Morningstar) upgraded its ratings on the notes issued by Kobe SPV S.r.l. (the Issuer) as follows:

-- Class A Notes to AA (high) (sf) from AA (low) (sf)
-- Class B Notes to AA (low) (sf) from A (sf)

The rating on the Class A Notes addresses the timely payment of interest and the ultimate repayment of principal on or before the legal final maturity date in October 2058. The rating on the Class B Notes addresses the ultimate payment of interest and principal on or before the legal final maturity date in October 2058.

The upgrades follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses as of the October 2020 payment date.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- The current available credit enhancement to the Class A and Class B Notes to cover the expected losses assumed at the AA (high) (sf) and AA (low) (sf) rating levels, respectively.
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

The Issuer is an Italian securitisation collateralised by a portfolio of first-ranking residential mortgage loans granted to individuals and producer families, established in November 2018. Loans were originated by two local banks operating in the Piedmont region: Banca Alpi Marittime Credito Cooperativo Carrù Società Cooperativa Per Azione (BAM; 49.4% of the initial portfolio) and Banca Cassa di Risparmio di Savigliano S.p.A. (CRS; 50.6% of the initial portfolio). BAM and CRS act as servicers of their respective portfolios and as backup servicers to each other. Even though amounts collected in relation to each portfolio are allocated to two separate waterfalls, full cross-collateralisation is in place from the closing date.

PORTFOLIO PERFORMANCE
As of the October 2020 payment date, loans that were one- to two-month and two- to three-month delinquent both represented 0.1% of the portfolio balance, while loans more than three-month delinquent represented 1.5%. There has not been any reported defaults to date.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 10.6% and 21.7%, respectively.

CREDIT ENHANCEMENT
The subordination of the respective junior obligations provides credit enhancement to the Class A and Class B Notes. As of the October 2020 payment date, credit enhancements to Class A and Class B Notes were 22.0% and 17.5%, up from 16.7% and 12.8%, respectively, as of the last annual review.

The transaction benefits from an amortising liquidity reserve, which is available to cover senior expenses and missed interest payments on the rated notes. This account was funded at closing with EUR 9.2 million, and its target balance is equal to 3.4% of the outstanding principal of the rated notes, with a floor of EUR 2.7 million. The reserve currently stands at EUR 6.8 million and has been at its target since closing.

The Bank of New York Mellon SA/NV - Milan Branch acts as the account bank for the transaction. Based on the DBRS Morningstar rating of The Bank of New York Mellon SA/NV - Milan Branch at AA (high), the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may increase in the coming months for many RMBS transactions, some meaningfully. The ratings are based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar increased the expected default rates for self-employed borrowers, assumed a moderate decline in residential property prices, and conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio. As of the October 2020 payment date, around 18.0% of the current portfolio balance benefitted from a payment moratorium.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 10.6% and 21.7%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (low) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to A (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to BBB (high) (sf).
