DBRS Morningstar Confirms Rating of FCT Opera 2014 Following Amendment

DBRS Ratings GmbH (DBRS Morningstar) confirmed its rating of the Class A Notes issued by FCT Opera 2014 (the Issuer) at AAA (sf).

The rating of the Class A Notes addresses the timely payment of interest and ultimate payment of principal on or before the legal final maturity date in May 2059.

The Issuer is a securitisation of French home loans and their Ancillary Rights originated and serviced by BNP Paribas S.A. (BNPP).

The confirmation is based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses.
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables.
-- Current available credit enhancement to the Class A Notes to cover the expected losses at the AAA (sf) rating level.
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.
-- A structural amendment to the transaction executed on 25 March 2021.

The amendment involves an increase in the size of the Class A and Class B Notes to EUR 8,463,991,887.00 and EUR 736,026,993.00, respectively. The proceeds of the issuance of the Class A and Class B Notes will be used to purchase an additional portfolio of residential home loans totalling EUR 1.6 billion. A fourth revolving period has been incorporated, ending in December 2022 (inclusive), during which time the Issuer may purchase further home loans and their ancillary rights.

Certain other structural features have been added or amended, including adjustments to the capital structure and credit enhancement to the Class A Notes. The amendment also includes updated conditions for further purchases of home loans and their ancillary rights during the fourth revolving period, which consists of default triggers, as well as amendments to the eligibility criteria and subsequent portfolio criteria.

CREDIT ENHANCEMENT AND RESERVES
Credit enhancement to the Class A Notes is 13.0%, compared to 13.1% at the 2019 restructure, and is provided by subordination of the Class B Notes and a reserve fund.

The target level of the reserve fund is equal to 5.0% of the Class A and Class B Notes balance and will be credited with the 2021 exceptional reserve increase amount by the seller on the 2021 amendment date. The reserve fund is available to cover senior fees, swap payments, Class A interest, and Class A principal shortfalls.

The transaction also benefits from a commingling reserve funded to EUR 320.0 million.

PORTFOLIO PERFORMANCE
As of February 2021, two- to three-month arrears represented 0.0% of the outstanding portfolio balance, down from 0.1% in February 2020. The 90+ delinquency ratio was 0.0%, down from 0.0% in February 2020, and the cumulative default ratio was 0.8%.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the pool of receivables, including coronavirus-related adjustments, and updated its base case PD and LGD assumptions to 5.9% and 25.0%, respectively.

BNP Paribas Securities Services SCA (BNPP SS) acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of BNPP SS, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the rating assigned to the Class A Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

BNPP acts as the swap counterparty for the transaction. DBRS Morningstar's public Long Term Critical Obligations Rating of BNPP at AA (high) is above the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The Coronavirus Disease (COVID-19) and the resulting isolation measures have caused an economic contraction, leading to sharp increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many RMBS transactions, some meaningfully. The ratings are based on additional analysis and adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar increased the expected default rate for self-employed borrowers and incorporated a moderate reduction in residential property values.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the pool of loans for the Issuer are 5.9% and 25.0%, respectively.
-- The risk sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. For example, if the LGD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A Notes would be expected to fall to AA (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A Notes would be expected to fall to A (high) (sf).
