DBRS Limited (DBRS Morningstar) assigned a provisional rating of BBB (low) with a Stable trend to the Senior Unsecured Notes issued by Transcontinental Inc. (Transcontinental or the Company).
DBRS Morningstar expects the net proceeds will be used to mainly repay existing indebtedness, including Term Loan Tranche C, and for other general corporate purposes.
The Senior Unsecured Notes will be direct senior unsecured obligations of Transcontinental and will rank pari passu with all of Transcontinental's existing and future senior unsecured indebtedness, and will rank senior in right of payment to any future subordinated indebtedness of Transcontinental. The Senior Unsecured Notes will be effectively subordinated to all secured indebtedness to the extent of the value of the assets securing such secured indebtedness and will be structurally subordinated in right of payment to all indebtedness and other liabilities, including trade payables, of Transcontinental's non-guarantor subsidiaries.
The obligations of the Company under the Indenture and the Senior Unsecured Notes will be fully and unconditionally guaranteed on a senior unsecured basis.
This provisional rating is based on information provided to DBRS Morningstar by the Company and its agents as at the date of this press release. This provisional rating can be finalized upon receipt of final information, data, and governing transaction documents. To the extent that the documents and the information provided to DBRS Morningstar as of this date differ from the final version of the governing transaction documents, DBRS Morningstar may assign different final ratings to the Senior Unsecured Notes.
