Press Release

DBRS Morningstar Upgrades Ratings on ICCREA SME CART 2016 S.r.l.

Consumer/Commercial Leases
July 23, 2021

DBRS Ratings GmbH (DBRS Morningstar) upgraded its ratings on the notes issued by ICCREA SME CART 2016 S.r.l. (the Issuer) as follows:

-- Class A2 Notes to AAA (sf) from AA (low) (sf)
-- Class B Notes to AA (high) (sf) from A (high) (sf)

The ratings address the timely payment of interest and ultimate payment of principal by the final maturity date in September 2042.

The upgrades follow an annual review of the transaction and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the June 2021 payment date;
-- Probability of default (PD), loss given default (LGD), and expected loss assumptions on the remaining receivables;
-- Current available credit enhancement to the notes to cover expected losses at their respective rating levels; and
-- Current economic environment and an assessment of sustainable performance, as a result of the Coronavirus Disease (COVID-19) pandemic.

ICCREA SME CART 2016 S.r.l. is a securitisation of lease receivables originated and serviced by Iccrea BancaImpresa S.p.A. The lessees are corporates, small businesses, and individual enterprises with their registered offices in Italy, while the pool comprises real estate, auto, industrial vehicles, and equipment lease receivables. The residual value of the lease contracts is not securitised; therefore, the Issuer is not exposed to any residual value risk. The transaction had a two-year revolving period, which ended on December 2018.

PORTFOLIO PERFORMANCE
As of the May 2021 cut-off, there was no lease contract that was two to three months in arrears, while the 90+ delinquency ratio was 0.2%, stable from last year. The gross cumulative default ratio was equal to 2.9% of the initial portfolio balance (including additional portfolios), increasing from 2.1% last year. Despite low arrears, a significant portfion of the portfolio, approxiamtely 47%, was still under payment moratorium as of June 2021.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has updated its base case PD and LGD assumptions to 25.6% and 81.4%, respectively.

CREDIT ENHANCEMENT
Overcollateralisation of the outstanding collateral portfolio and the debt service reserve provide credit enhancement. As of the June 2021 payment date, credit enhancement to the Class A2 and Class B Notes was 92.6% and 84.1%, respectively, up from 78.0% and 70.7%, respectively, as of the June 2020 payment date. The increase in credit enhancement was the main driver behind the rating upgrades.

The transaction benefits from an amortising debt service reserve, available to cover shortfalls on senior fees, expenses, and interest payments on the rated notes. The reserve is currently at its target level of EUR 3.3 million, or 2.0% of the rated notes outstanding balance. The floor is equal to EUR 3.0 million.

Citibank N.A./Milan Branch acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Citibank N.A./Milan Branch, the downgrade provisions outlined in the transaction documents, and structural mitigants inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the rated Notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

DBRS Morningstar analysed the transaction structure in Intex DealMaker.

The coronavirus and the resulting isolation measures have caused an economic contraction, leading in some cases to increases in unemployment rates and income reductions for many borrowers. DBRS Morningstar anticipates that delinquencies may continue to increase in the coming months for many asset-backed security (ABS) transactions, some meaningfully. The ratings are based on additional analysis and, where appropriate, adjustments to expected performance as a result of the global efforts to contain the spread of the coronavirus.

For this transaction, DBRS Morningstar conducted additional sensitivity analysis to determine that the transaction benefits from sufficient liquidity support to withstand high levels of payment holidays in the portfolio.

To assess the impact of changing the transaction parameters on the rating, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the rating (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD and LGD of the current pool of loans for the Issuer are 25.6% and 81.4%, respectively.
-- The Risk Sensitivity overview below illustrates the ratings expected if the PD and LGD increase by a certain percentage over the base case assumption. Taking the Class A2 Notes as example, if the LGD increases by 50%, the rating of the Class A2 Notes would be expected to fall to AA (high) (sf), assuming no change in the PD. If the PD increases by 50%, the rating of the Class A2 Notes would be expected to fall to A (high) (sf), assuming no change in the LGD. Furthermore, if both the PD and LGD increase by 50%, the rating of the Class A2 Notes would be expected to fall to A (sf).

Class A2 Notes Risk Sensitivity:
-- 25% increase in LGD, expected rating of AA (high) (sf)
-- 50% increase in LGD, expected rating of AA (high) (sf)
-- 25% increase in PD, expected rating of AA (low) (sf)
-- 50% increase in PD, expected rating of A (high) (sf)
-- 25% increase in PD and 25% increase in LGD, expected rating of AA (low) (sf)
-- 25% increase in PD and 50% increase in LGD, expected rating of AA (low) (sf)
-- 50% increase in PD and 25% increase in LGD, expected rating of A (sf)
-- 50% increase in PD and 50% increase in LGD, expected rating of A (sf)

Class B Notes Risk Sensitivity:
-- 25% increase in LGD, expected rating of AA (sf)
-- 50% increase in LGD, expected rating of AA (sf)
-- 25% increase in PD, expected rating of AA (low) (sf)
-- 50% increase in PD, expected rating of A (high) (sf)
-- 25% increase in PD and 25% increase in LGD, expected rating of A (high) (sf)
-- 25% increase in PD and 50% increase in LGD, expected rating of A (high) (sf)
-- 50% increase in PD and 25% increase in LGD, expected rating of A (sf)
-- 50% increase in PD and 50% increase in LGD, expected rating of A (sf)
