DBRS Morningstar Assigns Provisional Ratings to ELFI Graduate Loan Program 2022-A LLC

DBRS, Inc. (DBRS Morningstar) assigned provisional ratings to the following classes of notes (the Notes) to be issued by ELFI Graduate Loan Program 2022-A LLC (ELFI 2022-A):

-- $222,750,000 Class A Notes rated AAA (sf)
-- $15,450,000 Class B Notes rated AA (sf)
-- $13,580,000 Class C Notes rated BBB (sf)

RATING RATIONALE/DESCRIPTION
The ratings are based on DBRS Morningstar’s review of the following analytical considerations:

-- The transaction assumptions consider DBRS Morningstar’s baseline macroeconomic scenarios for rated sovereign economies, available in its commentary Baseline Macroeconomic Scenarios For Rated Sovereigns - March 2022 Update, published on March 24, 2022. These baseline macroeconomic scenarios replace DBRS Morningstar’s moderate and adverse COVID-19 pandemic scenarios, which were first published in April 2020. Despite several new or increasing risks including Russian invasion of Ukraine, rising inflation and new COVID-19 variants, the overall outlook for growth and employment in the United States remains relatively positive.
-- Transaction capital structure, ratings, and form and sufficiency of available credit enhancement.
-- The ability of the transaction to withstand stressed cash flow assumptions and repay investors in accordance with the terms of the ELFI 2022-A transaction documents.
-- The quality and credit characteristics of the student loans and underlying borrowers.
-- Structural features of the transaction that require the Notes to enter into full turbo principal amortization under certain circumstances.
-- The experience, underwriting and origination capabilities of the Bank.
-- The ability of servicers to perform collections on the collateral pool and other required activities.
-- The legal structure and expected presence of legal opinions that will address the true sale of the student loans, the nonconsolidation of the trust, that the trust has a valid first-priority security interest in the assets, and the consistency with the DBRS Morningstar “Legal Criteria for U.S. Structured Finance.”

ELFI 2022-A will use a traditional pass-through structure, with credit enhancement consisting of overcollateralization, excess spread, subordination provided by the Class B Notes and Class C Notes for the benefit of the Class A Notes, subordination provided by the Class C Notes for the benefit of the Class B Notes, a reserve account for the Class A Notes and separate liquidity accounts for the Class B Notes and Class C Notes.
