DBRS Morningstar Upgrades and Confirms Ratings of Globaldrive Auto Receivables UK 2020-B plc

DBRS Ratings Limited (DBRS Morningstar) took the following rating actions on the bonds issued by Globaldrive Auto Receivables UK 2020-B plc as follows:

-- Class A Notes confirmed at AAA (sf)
-- Class B Notes upgraded to AAA (sf) from AA (high) (sf)

The ratings on the Class A and Class B notes address the timely payment of interest and ultimate payment of principal on or before the legal final maturity date.

The rating actions follow an annual review and are based on the following analytical considerations:
-- Portfolio performance, in terms of delinquencies, defaults, and losses, as of the May 2022 payment date.
-- Probability of default (PD), loss given default (LGD), and residual value (RV) haircut assumptions on the remaining receivables.
-- Current available credit enhancement (CE) to the rated notes to cover the expected losses at their respective rating levels.

The transaction is a securitisation of auto loans granted to private and commercial borrowers in the United Kingdom for the purchase of new and used cars and light commercial vehicles. The receivables are originated and serviced by FCE Bank plc (FCE). The transaction is subject to residual value risk through the presence of personal contract purchase agreements. The underlying portfolio is static. The legal final maturity date is on the payment date in October 2027.

PORTFOLIO PERFORMANCE
Delinquencies have been relatively low since the DBRS Morningstar initial rating. As of the May 2022 payment date, the two- to three-month arrears ratio and the 90+ delinquency ratio were marginal at 0.05% and 0.02% of the portfolio outstanding balance, respectively. As of the May 2022 payment date, cumulative defaults represented 0.1% of the total purchased receivables since closing, stable since the last annual review. As of the May 2022 payment date, the RV represented 64.3% of the outstanding portfolio balance, up from 53.0% at the last annual review.

PORTFOLIO ASSUMPTIONS AND KEY DRIVERS
DBRS Morningstar conducted a loan-by-loan analysis of the remaining pool of receivables and has maintained its base case PD at 3.4%, decreased its LGD assumption at the AAA (sf) to 55.2% from 57.5% and maintained its RV haircut at AAA (sf) at 40.7%. The decrease in the LGD assumption at AAA (sf) is due to the removal of the adjustment applied at the last annual review in the context of the coronavirus pandemic.

CREDIT ENHANCEMENT
The CE to the Class A Notes and Class B Notes consists of the subordination of their respective junior notes.

The CE increased substantially since the last annual review as follows:
-- CE to the Class A Notes to 53.7% from 31.1%
-- CE to the Class B Notes to 37.8% from 21.9%

The transaction benefits from a nonamortising reserve fund, which covers senior fees, swap payments, and interest on the rated notes and is also available to redeem the rated notes on the legal final maturity date. As of the May 2022 payment date, the liquidity reserve was funded at its target level of approximately GBP 7.0 million.

Elavon Financial Services DAC, U.K. branch (Elavon UK) acts as the account bank for the transaction. Based on the DBRS Morningstar private rating of Elavon UK, the downgrade provisions outlined in the transaction documents, and other mitigating factors inherent in the transaction structure, DBRS Morningstar considers the risk arising from the exposure to the account bank to be consistent with the ratings assigned to the Class A and Class B notes, as described in DBRS Morningstar's "Legal Criteria for European Structured Finance Transactions" methodology.

Lloyds Bank Corporate Markets plc (Lloyds) acts as the swap counterparty for the transaction. DBRS Morningstar's private rating of Lloyds is consistent with the First Rating Threshold as described in DBRS Morningstar's "Derivative Criteria for European Structured Finance Transactions" methodology.

ENVIRONMENTAL, SOCIAL, GOVERNANCE CONSIDERATIONS
There were no Environmental/ Social/ Governance factors that had a significant or relevant effect on the credit analysis.

At the time of the initial rating, DBRS Morningstar was supplied with third-party assessments. However, this did not impact the rating analysis.

The last rating action on this transaction took place on 17 June 2021, when DBRS Morningstar confirmed its ratings on the rated notes.

To assess the impact of changing the transaction parameters on the ratings, DBRS Morningstar considered the following stress scenarios as compared with the parameters used to determine the ratings (the Base Case):

-- DBRS Morningstar expected a lifetime base case PD and LGD for the pool based on a review of the current assets. Adverse changes to asset performance may cause stresses to base case assumptions and therefore have a negative effect on credit ratings.
-- The base case PD, LGD, and RV haircut assumptions at the AAA (sf) rating level are: PD of 3.4%, LGD of 55.2% at the AAA (sf) rating level, and RV haircut of 40.7% at the AAA (sf) rating level.
-- The risk sensitivity overview below illustrates the ratings expected if the PD, LGD, and RV haircut increase by a certain percentage over the base case assumption.

For example, if both the PD and LGD increase by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in the RV haircut. If the RV haircut increases by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf), assuming no change in either the PD or LGD. Furthermore, if both the PD and LGD as well as the RV haircut increase by 50%, the rating on the Class A Notes would be expected to remain at AAA (sf).
